Description (English)
The company includes in its management report the information needed to understand its impacts on sustainability matters and how sustainability matters affect its development, performance and position; the parent of a large group includes the same information for the group in the consolidated management report (Article 29a(1) and (2)). It is the same task in a different scope of consolidation. The content is set out exhaustively: business model and strategy including the transition plan, time-bound targets with progress, the role and skills of the governing bodies, policies, incentive schemes, the due diligence process and adverse impacts, risks and dependencies, and the relevant indicators. The information must be clearly identifiable through a dedicated section and must describe the process used to identify it; it covers short-, medium- and long-term horizons. At group level two further items apply: where the reporting company identifies material differences between the risks or impacts of the group and those of one or more subsidiaries, it must provide an adequate understanding of those risks and impacts (Article 29a(4), first subparagraph). It must also state which subsidiaries included in the consolidation are exempted from annual or consolidated sustainability reporting (Article 29a(4), second subparagraph). The same management report carries two further items introduced by this Directive. First, the key intangible resources, with an explanation of how the business model fundamentally depends on them and how they are a source of value creation; a company that meets the sustainability reporting requirements, or relies on the derogation for small and medium-sized companies, is deemed to have complied with that item as well (Article 19(1), third subparagraph). Second, in the corporate governance statement, a description of the diversity policy applied to the administrative, management and supervisory bodies with regard to gender and other aspects such as age, disabilities or educational and professional background, its objectives, how it was implemented and the results in the reporting period; if no policy is applied, the statement explains why. Companies that include the information in their sustainability reporting and refer to it in the statement are deemed to have complied (Article 20(1), point (g)). Where applicable, the information covers the company's own operations and its value chain, including products, services, business relationships and supply chain, and contains cross-references to the other management report information and to the amounts reported in the annual financial statements; if, in the first three years of application, not all the necessary value chain information is available, the company explains the efforts made, the reasons and its plans to obtain it in the future. The reporting follows the sustainability reporting standards adopted by the Commission as delegated acts, which set the content and, where relevant, the structure and cover environmental, social and human rights, and governance factors. At group level both apply to the group. Variants of the same task: (1) Lighter reporting - small and medium-sized public-interest companies, small and non-complex institutions and captive insurance and reinsurance undertakings may limit their reporting to business model and strategy, policies, the principal adverse impacts together with the actions taken, the principal risks and how they are managed, and the key indicators needed, reporting in accordance with the standard for small and medium-sized companies (Article 19a(6)). (2) Transitional omission - for financial years starting before 1 January 2028, a small or medium-sized public-interest company may omit its sustainability reporting; a company that uses the option briefly states in its management report why no sustainability reporting was provided (Article 19a(7)). (3) Exempted subsidiary - a subsidiary exempted because it is included in a parent's consolidated management report includes in its own management report the name and registered office of the reporting parent, the weblinks to the consolidated management report or consolidated sustainability reporting and to the assurance opinion, and the statement that it is exempted (Article 19a(9), second subparagraph, point (a)). Where the exempting parent is established in a third country, the disclosures under Article 8 of Regulation (EU) 2020/852 covering the activities of the exempted Union subsidiary and its subsidiaries must in addition be included either in that subsidiary's management report or in the consolidated sustainability reporting of the third-country parent (Article 19a(9), second subparagraph, point (c)). Applicability: the obligation applies regulation-wide; who is caught, and from which financial year, follows from the rule sets of this act. The lighter reporting and the transitional omission are available only to small and medium-sized public-interest companies, small and non-complex institutions and captive (re)insurance undertakings. The main case, and therefore the rule set recorded here, is the group of undertakings with more than EUR 450 million net turnover and more than 1 000 employees that applies from financial year 2027. Until the end of 2026 large public-interest companies with more than 500 employees are also subject to the obligation (wave 1); the group and issuer rule sets apply in addition. Das Unternehmen nimmt in den Lagebericht die Angaben auf, die für das Verständnis seiner Auswirkungen auf Nachhaltigkeitsaspekte und der Auswirkungen von Nachhaltigkeitsaspekten auf Geschäftsverlauf, Geschäftsergebnis und Lage erforderlich sind; das Mutterunternehmen einer großen Gruppe nimmt dieselben Angaben bezogen auf die Gruppe in den Konzernlagebericht auf (Artikel 29a Absätze 1 und 2). Es ist dieselbe Aufgabe in einem anderen Konsolidierungskreis. Der Inhalt ist im Gesetz abschließend beschrieben: Geschäftsmodell und Strategie einschließlich Transformationsplan, zeitgebundene Ziele mit Fortschrittsdarstellung, Rolle und Kompetenzen der Organe, Unternehmenspolitik, Anreizsysteme, Sorgfaltsprozess und negative Auswirkungen, Risiken und Abhängigkeiten sowie die passenden Indikatoren. Die Angaben müssen über einen eigenen Abschnitt klar erkennbar sein und den Prozess ihrer Ermittlung ausweisen; sie beziehen sich auf kurz-, mittel- und langfristige Zeithorizonte. Auf Konzernebene kommen zwei Angaben hinzu: Stellt das berichtende Unternehmen erhebliche Unterschiede zwischen den Risiken oder Auswirkungen der Gruppe und denen einzelner Tochterunternehmen fest, muss es ein hinreichendes Verständnis dieser Risiken und Auswirkungen vermitteln (Artikel 29a Absatz 4 Unterabsatz 1). Außerdem ist anzugeben, welche in die Konsolidierung einbezogenen Tochterunternehmen von der jährlichen oder konsolidierten Nachhaltigkeitsberichterstattung befreit sind (Artikel 29a Absatz 4 Unterabsatz 2). Derselbe Lagebericht trägt zwei weitere durch diese Richtlinie eingefügte Angaben. Erstens die wichtigsten immateriellen Ressourcen mit der Erläuterung, inwiefern das Geschäftsmodell grundlegend von ihnen abhängt und inwiefern sie eine Wertschöpfungsquelle darstellen; wer die Anforderungen der Nachhaltigkeitsberichterstattung erfüllt oder die Erleichterung für kleine und mittlere Unternehmen nutzt, erfüllt damit zugleich diese Pflicht (Artikel 19 Absatz 1 Unterabsatz 3). Zweitens in der Erklärung zur Unternehmensführung die Beschreibung des Diversitätskonzepts für die Verwaltungs-, Leitungs- und Aufsichtsorgane nach Geschlecht und weiteren Aspekten wie Alter, Behinderungen oder Bildungs- und Berufshintergrund, seiner Ziele, seiner Umsetzung und der Ergebnisse im Berichtszeitraum; wird kein Konzept angewendet, ist zu erläutern, warum. Wer diese Angaben in die Nachhaltigkeitsberichterstattung aufnimmt und in der Erklärung darauf verweist, erfüllt die Pflicht damit (Artikel 20 Absatz 1 Buchstabe g). Die Angaben erstrecken sich, soweit einschlägig, auf die eigene Geschäftstätigkeit und auf die Wertschöpfungskette einschließlich Produkten, Dienstleistungen, Geschäftsbeziehungen und Lieferkette und enthalten Querverweise auf die übrigen Lageberichtsangaben und auf die im Jahresabschluss ausgewiesenen Beträge; sind in den ersten drei Jahren der Anwendung nicht alle erforderlichen Informationen über die Wertschöpfungskette verfügbar, erläutert das Unternehmen seine Anstrengungen, die Gründe und seine Pläne, sie künftig zu beschaffen. Berichtet wird nach den von der Kommission als delegierte Rechtsakte angenommenen Standards für die Nachhaltigkeitsberichterstattung, die die Inhalte und, soweit einschlägig, die Darstellungsstruktur vorgeben und Umwelt-, Sozial- und Menschenrechts- sowie Governance-Faktoren abdecken. Auf Konzernebene gilt beides für die Gruppe. Varianten derselben Aufgabe: (1) Erleichterte Berichterstattung — kleine und mittlere Unternehmen von öffentlichem Interesse, kleine und nicht komplexe Institute sowie firmeneigene Versicherungs- und Rückversicherungsunternehmen können die Berichterstattung auf Geschäftsmodell und Strategie, Unternehmenspolitik, die wichtigsten negativen Auswirkungen samt Gegenmaßnahmen, die wichtigsten Risiken und deren Handhabung sowie die dafür erforderlichen Schlüsselindikatoren beschränken und nach dem Standard für kleine und mittlere Unternehmen berichten (Artikel 19a Absatz 6). (2) Übergangsweiser Verzicht — für Geschäftsjahre, die vor dem 1. Januar 2028 beginnen, kann ein kleines oder mittleres Unternehmen von öffentlichem Interesse auf die Nachhaltigkeitsberichterstattung verzichten; wer davon Gebrauch macht, gibt im Lagebericht kurz an, warum sie nicht vorgelegt wurde (Artikel 19a Absatz 7). (3) Befreites Tochterunternehmen — wer als Tochterunternehmen befreit ist, weil es in den konsolidierten Lagebericht einer Mutter einbezogen ist, nimmt in den eigenen Lagebericht Name und Sitz der berichtenden Mutter, die Weblinks zum konsolidierten Lagebericht beziehungsweise zur konsolidierten Nachhaltigkeitsberichterstattung und zum Bestätigungsurteil sowie den Hinweis auf die Befreiung auf (Artikel 19a Absatz 9 Unterabsatz 2 Buchstabe a). Ist die befreiende Mutter in einem Drittland niedergelassen, müssen zusätzlich die Angaben nach Artikel 8 der Verordnung (EU) 2020/852 über die Tätigkeiten des befreiten Unions-Tochterunternehmens und seiner Tochterunternehmen entweder im eigenen Lagebericht oder in der konsolidierten Nachhaltigkeitsberichterstattung der Drittlandmutter enthalten sein (Artikel 19a Absatz 9 Unterabsatz 2 Buchstabe c). Anwendbarkeit: Die Pflicht gilt regelungsweit; wen sie ab welchem Geschäftsjahr trifft, ergibt sich aus den Regelwerken dieses Gesetzes. Die erleichterte Berichterstattung und der übergangsweise Verzicht stehen nur kleinen und mittleren Unternehmen von öffentlichem Interesse sowie kleinen und nicht komplexen Instituten und firmeneigenen (Rück-)Versicherungsunternehmen offen. Hauptfall und damit gesetztes Regelwerk ist der ab dem Geschäftsjahr 2027 maßgebliche Kreis mit mehr als 450 Mio. EUR Nettoumsatzerlösen und mehr als 1 000 Beschäftigten. Bis Ende 2026 sind daneben große Unternehmen von öffentlichem Interesse mit mehr als 500 Beschäftigten berichtspflichtig (Welle 1); ferner gelten die Konzern- und Emittentenregelwerke.
