Description (English)
The subsidiary established in the Union of an ultimate third-country parent publishes and makes accessible a sustainability report covering the information specified in Article 29a(2), points (a)(iii) to (a)(v), points (b) to (f) and, where appropriate, point (h), at the group level of that ultimate third-country parent. Where the third-country undertaking has no reporting Union subsidiary, the same task falls to its branch located in the Union, which reports at group level or, if not applicable, at the individual level of the third-country undertaking (Article 40a(1), third subparagraph). The report is drawn up in accordance with the sustainability reporting standards for third-country undertakings; alternatively in accordance with the European reporting standards or with standards determined to be equivalent (Article 40a(2), first and second subparagraphs). If the necessary information is not available, the subsidiary or branch requests it from the third-country undertaking; if not all information is provided, the report is drawn up and published with all information in its possession, together with a statement that the third-country undertaking did not make the necessary information available (Article 40a(2), third and fourth subparagraphs). The report is published together with an assurance opinion expressed by a person or firm authorised to do so under the law of the third country or of a Member State; if the third-country undertaking does not provide an opinion, the subsidiary or branch issues a statement to that effect (Article 40a(3)). The report, the assurance opinion and, where applicable, the statement are published within twelve months of the balance sheet date; if they are not accessible free of charge via the register, they must be accessible free of charge in at least one official language of the Union on the website of the subsidiary or branch no later than twelve months after the balance sheet date (Article 40d). Responsibility: branches are responsible for ensuring, to the best of their knowledge and ability, that the report is drawn up, published and made accessible; in the case of subsidiaries, the members of the administrative, management and supervisory bodies bear that responsibility collectively (Article 40c). Applicability: the obligation applies regulation-wide because it covers two different sets of addressees with their own thresholds - Union subsidiaries of a third-country undertaking whose group has more than EUR 150 million of Union turnover, and branches with more than EUR 40 million of their own net turnover, in each case for financial years from 2028. Which of the two cases applies follows from the corresponding rule sets of this act. The main case, and therefore the rule set recorded here, is the Union subsidiary of a third-country undertaking with more than EUR 150 million Union turnover at group level; for the branch the rule set with more than EUR 40 million own net turnover applies in addition (financial years from 2028). Das in der Union niedergelassene Tochterunternehmen eines obersten Drittland-Mutterunternehmens legt einen Nachhaltigkeitsbericht offen und macht ihn zugänglich, der die Angaben nach Artikel 29a Absatz 2 Buchstabe a Ziffern iii bis v, Buchstaben b bis f und gegebenenfalls Buchstabe h auf Gruppenebene dieses obersten Drittland-Mutterunternehmens enthält. Hat das Drittlandunternehmen kein berichtspflichtiges Unions-Tochterunternehmen, trifft dieselbe Aufgabe die in der Union ansässige Zweigniederlassung; sie berichtet auf Gruppenebene oder, falls dies nicht zutrifft, auf Einzelebene des Drittlandunternehmens (Artikel 40a Absatz 1 Unterabsatz 3). Der Bericht wird nach den Standards für die Nachhaltigkeitsberichterstattung für Drittlandunternehmen erstellt; alternativ nach den europäischen Berichtsstandards oder nach als gleichwertig festgestellten Standards (Artikel 40a Absatz 2 Unterabsätze 1 und 2). Liegen die erforderlichen Informationen nicht vor, fordert das Tochterunternehmen oder die Zweigniederlassung sie beim Drittlandunternehmen an; werden nicht alle Informationen bereitgestellt, wird der Bericht mit allen vorhandenen Informationen erstellt und offengelegt und es wird erklärt, dass das Drittlandunternehmen die erforderlichen Informationen nicht bereitgestellt hat (Artikel 40a Absatz 2 Unterabsätze 3 und 4). Der Bericht wird zusammen mit einem Bestätigungsurteil offengelegt, das von einer nach dem Recht des Drittlands oder eines Mitgliedstaats dazu befugten Person oder Gesellschaft abgegeben wurde; stellt das Drittlandunternehmen kein Urteil zur Verfügung, gibt das Tochterunternehmen oder die Zweigniederlassung eine entsprechende Erklärung ab (Artikel 40a Absatz 3). Bericht, Bestätigungsurteil und gegebenenfalls die Erklärung werden innerhalb von zwölf Monaten nach dem Bilanzstichtag offengelegt; sind sie nicht kostenlos über das Register zugänglich, müssen sie spätestens zwölf Monate nach dem Bilanzstichtag in mindestens einer Amtssprache der Union kostenlos auf der Website des Tochterunternehmens oder der Zweigniederlassung zugänglich sein (Artikel 40d). Verantwortung: Die Zweigniederlassungen tragen die Verantwortung dafür, nach bestem Wissen und Vermögen sicherzustellen, dass der Bericht erstellt, offengelegt und zugänglich gemacht wird; bei Tochterunternehmen tragen die Mitglieder der Verwaltungs-, Leitungs- und Aufsichtsorgane diese Verantwortung gemeinsam (Artikel 40c). Anwendbarkeit: Die Pflicht gilt regelungsweit, weil sie zwei verschiedene Adressatenkreise mit eigenen Schwellen betrifft — Unions-Tochterunternehmen eines Drittlandunternehmens mit mehr als 150 Mio. EUR Unionsumsatz der Gruppe und Zweigniederlassungen mit mehr als 40 Mio. EUR eigenen Nettoumsatzerlösen, jeweils für Geschäftsjahre ab 2028. Welcher der beiden Fälle greift, ergibt sich aus den entsprechenden Regelwerken dieses Gesetzes. Hauptfall und damit gesetztes Regelwerk ist das Unions-Tochterunternehmen eines Drittlandunternehmens mit mehr als 150 Mio. EUR Unionsumsatz der Gruppe; für die Zweigniederlassung gilt daneben das Regelwerk mit mehr als 40 Mio. EUR eigenen Nettoumsatzerlösen (Geschäftsjahre ab 2028).
