Description (English)
A company relying on the exemption from sustainability reporting must include in its own management report the name and registered office of the reporting parent company, together with web links to its report and to the assurance opinion, and must expressly state that the company is exempt; without that information the exemption does not apply (section 243b(8)). The same task applies to a parent company exempt from consolidated sustainability reporting, in relation to the higher-level parent company (section 267a(9)). Where the exemption rests on a third-country parent company (section 243b(7) subparagraph 2), two variants are added: the consolidated sustainability reporting must be filed without delay under section 280(2) together with the assurance opinion of a provider authorised under the applicable law, and the disclosures under Article 8 of the Taxonomy Regulation concerning the activities of the exempted company and its subsidiaries must be included either in its own management report or in the consolidated reporting of the parent company — the company may choose where the disclosures appear, not whether they are made. Applicability: only for companies and parent companies that rely on an exemption. The main case, and therefore the rule set recorded here, is the exempted company under section 243b(8) that is included in consolidated sustainability reporting and is not listed; in addition the rule set for exempted parent companies under section 267a(9) applies. Description (German)
Wer sich auf die Befreiung von der Nachhaltigkeitsberichterstattung stützt, nimmt in den eigenen Lagebericht Namen und Sitz des berichtenden Mutterunternehmens auf, samt Weblinks zu dessen Bericht und zum Prüfungsurteil, und weist ausdrücklich darauf hin, dass die Gesellschaft befreit ist; ohne diese Angaben tritt die Befreiung nicht ein (§ 243b Abs. 8). Dieselbe Aufgabe trifft ein von der konsolidierten Nachhaltigkeitsberichterstattung befreites Mutterunternehmen in Bezug auf das übergeordnete Mutterunternehmen (§ 267a Abs. 9). Beruht die Befreiung auf einem Drittlandmutterunternehmen (§ 243b Abs. 7 Z 2), kommen zwei Varianten hinzu: Die konsolidierte Nachhaltigkeitsberichterstattung ist samt dem Prüfungsurteil eines nach dem anzuwendenden Recht befugten Prüfers unverzüglich nach § 280 Abs. 2 offenzulegen, und die Offenlegungen nach Art. 8 der Taxonomie-Verordnung über die Tätigkeiten der befreiten Gesellschaft und ihrer Tochterunternehmen müssen entweder im eigenen Lagebericht oder in der konsolidierten Berichterstattung des Mutterunternehmens enthalten sein — die Gesellschaft hat die Wahl, wo die Angaben stehen, nicht ob sie gemacht werden. Anwendbarkeit: nur für Gesellschaften und Mutterunternehmen, die eine Befreiung in Anspruch nehmen. Hauptfall und damit gesetztes Regelwerk ist die befreite Gesellschaft nach § 243b Abs. 8, die in eine konsolidierte Nachhaltigkeitsberichterstattung einbezogen und nicht börsenotiert ist; daneben gilt das Regelwerk für befreite Mutterunternehmen nach § 267a Abs. 9. Finance or group accounting is accountable for the management report and, together with legal, for filing with the commercial register; legal checks whether the conditions for the exemption are fully met; the web links, the assurance opinion and the consolidated documents come from the parent company or the group head office; sustainability and finance collect the taxonomy figures.

The information appears in the filed management report and can be checked there directly; the consolidated reporting of a third-country parent is deposited with the commercial register court with proof of receipt and the collection of documents is publicly accessible; compliance with the taxonomy reporting requirements is subject to assurance under section 268(1) subparagraph 2(d); in addition, section 280(3) requires a declaration of which ground of exemption applies.
