Description (English)
Alongside the sustainability statement the Act requires three further non-financial disclosures. First, information on the key intangible resources — resources without physical substance on which the business model fundamentally depends and which are a source of value creation — together with an explanation of that dependence: in the management report of the companies referred to in the first sentence of section 243b(1) (section 243(2a)) and, without being tied to those thresholds, in every consolidated management report (section 267(2a)). Second, large companies limited by shares that do not fall under section 243b must extend the analysis in the management report to the key non-financial performance indicators, including information on environmental and employee matters — the fall-back duty below the thresholds (section 243(5)). Third, large public limited companies must describe in the corporate governance report the diversity policy for the management board and supervisory board, its objectives, its implementation and the results in the reporting period; where no policy is applied, the reasons must be given. Companies subject to sustainability reporting may instead make those disclosures in the sustainability reporting and cross-refer to them in the corporate governance report — an option available only to those companies (section 243c(2)). Applicability: the three strands address different groups of companies; they are combined here because they are one task — non-financial disclosures outside the sustainability statement that go into the annual reporting package. The main case, and therefore the rule set recorded here, is the fallback duty of section 243(5) for large corporations without a sustainability reporting duty; the disclosure on intangible resources also applies to the companies under section 243b(1) with more than 1 000 employees on annual average and more than EUR 450 million revenue and, with no threshold, to every consolidated management report (section 267(2a)), and the diversity policy applies to listed stock corporations (section 243c(1)). Neben der Nachhaltigkeitserklärung verlangt das Gesetz drei weitere nichtfinanzielle Angaben. Erstens Informationen über die wichtigsten immateriellen Ressourcen — Ressourcen ohne physische Substanz, von denen das Geschäftsmodell grundlegend abhängt und die eine Wertschöpfungsquelle darstellen — samt Erläuterung dieser Abhängigkeit: im Lagebericht der Gesellschaften nach § 243b Abs. 1 erster Satz (§ 243 Abs. 2a) und, ohne Bindung an diese Schwellen, in jedem Konzernlagebericht (§ 267 Abs. 2a). Zweitens erweitern große Kapitalgesellschaften, die nicht der Pflicht nach § 243b unterliegen, die Analyse im Lagebericht um die wichtigsten nichtfinanziellen Leistungsindikatoren einschließlich Informationen über Umwelt- und Arbeitnehmerbelange — die Auffangpflicht unterhalb der Schwellen (§ 243 Abs. 5). Drittens beschreiben große Aktiengesellschaften im Corporate Governance-Bericht das Diversitätskonzept für Vorstand und Aufsichtsrat, seine Ziele, die Umsetzung und die Ergebnisse im Berichtszeitraum; wird kein Konzept angewendet, ist das zu begründen. Unternehmen mit Pflicht zur Nachhaltigkeitsberichterstattung dürfen diese Angaben stattdessen dort machen und im Corporate Governance-Bericht darauf verweisen — eine Erfüllungsoption, die nur für diese Unternehmen offensteht (§ 243c Abs. 2). Anwendbarkeit: Die drei Stränge treffen unterschiedliche Kreise; sie sind hier zusammengefasst, weil sie eine Aufgabe sind — nichtfinanzielle Angaben außerhalb der Nachhaltigkeitserklärung in den jährlichen Berichtsband aufnehmen. Hauptfall und damit gesetztes Regelwerk ist die Auffangpflicht des § 243 Abs. 5 für große Kapitalgesellschaften ohne Pflicht zur Nachhaltigkeitsberichterstattung; die Angabe zu den immateriellen Ressourcen trifft daneben die Gesellschaften nach § 243b Abs. 1 mit mehr als 1 000 Arbeitnehmern im Jahresdurchschnitt und mehr als 450 Mio. Euro Umsatzerlösen sowie ohne Schwelle jeden Konzernlagebericht (§ 267 Abs. 2a), und das Diversitätskonzept trifft börsenotierte Aktiengesellschaften (§ 243c Abs. 1). Finance and group accounting are accountable for the management report and the consolidated management report, and identify the resources together with strategy and the business functions; the environmental and employee figures come from sustainability and human resources; legal and human resources are accountable for the diversity disclosures, with sustainability coordinating where a cross-reference into the sustainability statement is used.

The management report and the consolidated management report are subject to audit under section 268(1) subparagraph 1 as to whether they have been drawn up in accordance with the applicable legal requirements and are consistent with the financial statements; the corporate governance report must be filed under section 277(1) subparagraph 3, and under section 269(3) the statutory audit covers whether it has been drawn up.
