Description (English)
At the latest nine months after the balance sheet date, the legal representatives file with the commercial register court the annual financial statements and the management report, the audit opinion and, where applicable, the assurance report, the corporate governance report, the report on payments to governments, the report of the supervisory board, the resolution on the appropriation of the result and the further reports to be submitted at the same time; the assurance report was added to that list by the Sustainability Reporting Act (section 277(1)). Parent companies subject to preparation duties file the consolidated financial statements, the consolidated management report, the audit opinion and, where applicable, the assurance report, the consolidated corporate governance report and the consolidated report on payments to governments at the same time as the annual financial statements (section 280(1)); companies included with exempting effect in foreign consolidated financial statements deposit those statements in German or in a language customary in international financial circles, which is also the route by which the consolidated sustainability reporting of a third-country parent is filed (section 280(2)). Form: the documents are filed electronically and entered in the collection of documents; companies subject to an audit requirement state the date of drawing-up and the date of signature of the audit opinion or assurance report, management reports are filed where applicable in the electronic reporting format under section 243b(10), and where a document is not filed in the original, conformity with the original must be confirmed (section 277(6)). Declarations: at the latest together with the filing, the legal representatives declare the size class and whether the company falls under section 189a subparagraph 1(a) to (d), where classified as large whether the criteria of section 243b(1) were met, for capital-market-oriented companies whether the criteria for the corporate governance report were met, and whether the criteria for the report on payments to governments were met and whether an exemption applies (section 277(4)); a parent company declares whether it is subject to the group reporting duty and, if not, which ground of exemption applies, where it is subject to it whether and which ground of exemption from consolidated sustainability reporting applies, and whether the criteria for the consolidated corporate governance report and the consolidated report on payments to governments are met (section 280(3)). Content of the publication: the statements and reports are reproduced as they were drawn up and as the provider based its opinion on them, and the full wording of the audit opinion and of the assurance report must be reproduced — an abridged or summarised reproduction does not suffice (section 281(1)). Where they are not reproduced in the statutory form in publications that are not prescribed, for example in a separately designed annual report, this must be pointed out in a heading; an audit opinion or assurance report may not be attached, their content must be reported on and it must be stated whether filing has already taken place (section 281(2)). Where Union law requires parts of the sustainability reporting to be verified by an accredited independent third party, that report must be made available either as an annex to the management report or in another publicly accessible manner (section 281(4)). Finally, where the court's review gives grounds to assume that size-dependent provisions should not have been relied upon, the company must communicate the balance sheet total, net turnover and average number of employees within a reasonable period; where the communication is not made in time, those provisions are deemed to have been relied upon without justification (section 282(2)). The main case, and therefore the rule set recorded here, is the filing by corporations subject to the preparation duty under section 277(1); in addition the rule sets on section 280(1) for parent companies subject to the preparation duty, on section 280(2) for inclusion in a foreign consolidated account, and on section 281(4) for the review under Union law by an accredited third party apply; the declarations are due from the declaration reference date of 1 July 2026. Die gesetzlichen Vertreter reichen spätestens neun Monate nach dem Abschlussstichtag beim Firmenbuchgericht den Jahresabschluss und den Lagebericht, den Bestätigungsvermerk und gegebenenfalls den Zusicherungsvermerk, den Corporate Governance-Bericht, den Bericht über Zahlungen an staatliche Stellen, den Bericht des Aufsichtsrats, den Beschluss über die Ergebnisverwendung und die weiteren zeitgleich vorzulegenden Berichte ein; der Zusicherungsvermerk ist mit dem Nachhaltigkeitsberichtsgesetz in diese Liste aufgenommen worden (§ 277 Abs. 1). Aufstellungspflichtige Mutterunternehmen reichen gleichzeitig mit dem Jahresabschluss den Konzernabschluss und den Konzernlagebericht, den Bestätigungsvermerk und gegebenenfalls den Zusicherungsvermerk, den konsolidierten Corporate Governance-Bericht und den konsolidierten Bericht über Zahlungen an staatliche Stellen ein (§ 280 Abs. 1); Unternehmen, die mit befreiender Wirkung in einen ausländischen Konzernabschluss einbezogen sind, hinterlegen diesen in deutscher Sprache oder in einer in internationalen Finanzkreisen gebräuchlichen Sprache — über diese Vorschrift wird auch die konsolidierte Nachhaltigkeitsberichterstattung eines Drittlandmutterunternehmens offengelegt (§ 280 Abs. 2). Form: Die Unterlagen sind elektronisch einzureichen und werden in die Urkundensammlung aufgenommen; prüfpflichtige Unternehmen geben das Datum der Aufstellung und der Unterschrift des Bestätigungs- oder Zusicherungsvermerks an, Lageberichte sind gegebenenfalls im elektronischen Berichtsformat nach § 243b Abs. 10 einzureichen, und wird eine Unterlage nicht im Original eingereicht, ist die Übereinstimmung mit dem Original zu bestätigen (§ 277 Abs. 6). Erklärungen: Spätestens mit der Einreichung erklären die gesetzlichen Vertreter die Größenklasse und ob die Gesellschaft unter § 189a Z 1 lit. a bis d fällt, bei Einordnung als groß zusätzlich, ob die Kriterien des § 243b Abs. 1 erfüllt waren, bei kapitalmarktorientierten Gesellschaften, ob die Kriterien des Corporate Governance-Berichts erfüllt waren, und ob die Kriterien des Berichts über Zahlungen an staatliche Stellen erfüllt sind und ob dafür eine Befreiung greift (§ 277 Abs. 4); ein Mutterunternehmen erklärt, ob es der Konzernberichterstattungspflicht unterliegt und wenn nicht, welcher Befreiungstatbestand vorliegt, unterliegt es ihr, ob und welcher Befreiungstatbestand von der konsolidierten Nachhaltigkeitsberichterstattung vorliegt, sowie ob die Kriterien des konsolidierten Corporate Governance-Berichts und des konsolidierten Berichts über Zahlungen an staatliche Stellen erfüllt sind (§ 280 Abs. 3). Inhalt der Offenlegung: Abschluss und Lagebericht sind so wiederzugeben, wie sie aufgestellt wurden und wie der Prüfer sie seinem Urteil zugrunde gelegt hat, und der vollständige Wortlaut von Bestätigungs- und Zusicherungsvermerk ist wiederzugeben — eine gekürzte oder zusammenfassende Wiedergabe genügt nicht (§ 281 Abs. 1). Werden sie in nicht vorgeschriebenen Veröffentlichungen, etwa einem Geschäftsbericht in eigener Gestaltung, nicht in der gesetzlichen Form wiedergegeben, ist darauf in einer Überschrift hinzuweisen; ein Bestätigungs- oder Zusicherungsvermerk darf nicht beigefügt werden, über deren Inhalt ist zu berichten, und es ist anzugeben, ob die Offenlegung schon erfolgt ist (§ 281 Abs. 2). Ist ein Unternehmen nach Unionsrecht verpflichtet, Teile seiner Nachhaltigkeitsberichterstattung durch eine akkreditierte unabhängige dritte Partei überprüfen zu lassen, ist deren Bericht als Anlage zum Lagebericht oder auf andere öffentlich zugängliche Weise bereitzustellen (§ 281 Abs. 4). Gibt schließlich die Prüfung des Gerichts Anlass zu der Annahme, dass größenabhängige Vorschriften nicht hätten in Anspruch genommen werden dürfen, hat die Gesellschaft Bilanzsumme, Umsatzerlöse und durchschnittliche Arbeitnehmerzahl innerhalb einer angemessenen Frist mitzuteilen; unterbleibt die fristgemäße Mitteilung, gelten die Vorschriften als zu Unrecht in Anspruch genommen (§ 282 Abs. 2). Hauptfall und damit gesetztes Regelwerk ist die Einreichung durch aufstellungspflichtige Kapitalgesellschaften nach § 277 Abs. 1; daneben gelten die Regelwerke zu § 280 Abs. 1 für aufstellungspflichtige Mutterunternehmen, zu § 280 Abs. 2 für die Einbeziehung in einen ausländischen Konzernabschluss sowie zu § 281 Abs. 4 für die unionsrechtliche Überprüfung durch eine akkreditierte dritte Partei; die Erklärungen sind ab dem Erklärungsstichtag 1. The legal representatives owe the filing and the declarations, and under section 283(7) the company owes the filing alongside them; finance or the company secretariat carries out the filing, with the dates taken from the documentation of the drawing-up under section 222(1); legal assesses the grounds of exemption, the provider supplies the wording of the reports, communications and finance are jointly accountable for voluntary publications, and sustainability engages the accredited third party.

The publicly accessible collection of documents is itself the evidence; the filed documents can be compared with the version drawn up and the signed reports, and the report of the accredited third party is either annexed to the management report or publicly accessible on the website. Infringements of sections 277, 280 and 281(1) to (3) are subject to coercive penalties under section 283 and section 284(1) subparagraph 1.
