Description (English)
This duty has a different addressee from the reporting company: it applies to the assurance provider for sustainability reporting. The provider summarises the result of the engagement in an assurance report containing an introduction identifying the company assured, the period and the reporting framework, a description of the nature and scope of the engagement including the standards applied, and the assurance opinion, which is unqualified, qualified or adverse; where the same provider also carries out the statutory audit, the report may be included as a separate section in the audit opinion (section 274a(1)). Where the European Commission has adopted international auditing standards, statutory audits and assurance engagements on sustainability reporting must be carried out in compliance with those principles — a conditional duty that does not apply as long as no standards have been adopted (section 269a). The group auditor bears full responsibility for the assurance report on the consolidated sustainability reporting, reviews the individual reports combined in it and must monitor in an appropriate manner the work of other providers auditing companies included (section 269(2)). Independence: the provider and every member of its network may not provide to an assured public-interest entity, its parent company or the companies controlled by it in the EU and the EEA the services prohibited by Article 5(1) of Regulation (EU) No 537/2014, neither directly nor indirectly, during the engagement period up to the issuing of the report and, for certain services, already in the preceding year (section 271d(1)); other, non-prohibited non-assurance services may be provided only where the audit committee has consented following a proper assessment of the threats to independence and of the safeguards applied, and where services are provided without consent, no fee is payable (section 271d(2)). Article 7 of Regulation (EU) No 537/2014 applies mutatis mutandis, so a suspicion of irregularities, including fraud, must be reported to the assured company and, where that company does not investigate, to the competent authorities (section 271e). Finally, the statutory auditor must, on written request, grant the succeeding auditor access to the relevant information on the company and on the audit last carried out; the same applies as between the statutory auditor and the assurance provider for sustainability reporting — the bridge inserted by the Sustainability Reporting Act for the case where two different providers act (section 275(1)). Applicability: all providers of assurance on sustainability reporting; sections 271d and 271e apply only where the assured company is a public-interest entity. The main case, and therefore the rule set recorded here, is the sustainability reporting assurer under section 268(3); for assurance engagements at public-interest entities the rule set on section 271d(1) applies in addition. Diese Pflicht hat einen anderen Adressaten als die des berichtenden Unternehmens: Sie trifft den Prüfer der Nachhaltigkeitsberichterstattung. Er fasst das Ergebnis der Prüfung in einem Zusicherungsvermerk zusammen, der eine Einleitung mit geprüftem Unternehmen, Zeitraum und Berichtsrahmen, eine Beschreibung von Art und Umfang der Prüfung samt angewandten Standards und das Prüfungsurteil enthält, das uneingeschränkt, eingeschränkt oder negativ ist; führt derselbe Prüfer auch die Abschlussprüfung durch, kann der Vermerk als gesonderter Abschnitt in den Bestätigungsvermerk aufgenommen werden (§ 274a Abs. 1). Hat die Europäische Kommission internationale Prüfungsstandards übernommen, sind Abschlussprüfungen und Prüfungen der Nachhaltigkeitsberichterstattung unter Beachtung dieser Grundsätze durchzuführen — eine bedingte Pflicht, die nicht greift, solange keine Standards übernommen sind (§ 269a). Der Konzernabschlussprüfer trägt für die konsolidierte Nachhaltigkeitsberichterstattung die volle Verantwortung für den Zusicherungsvermerk, prüft die darin zusammengefassten Einzelberichte und hat die Tätigkeit anderer Prüfer einbezogener Unternehmen in geeigneter Weise zu überwachen (§ 269 Abs. 2). Unabhängigkeit: Der Prüfer und jedes Mitglied seines Netzwerks dürfen einer geprüften Gesellschaft von öffentlichem Interesse, ihrem Mutterunternehmen und den von ihm beherrschten Unternehmen in der EU und im EWR die in Art. 5 Abs. 1 der Verordnung (EU) Nr. 537/2014 genannten verbotenen Leistungen weder direkt noch indirekt erbringen, im Prüfungszeitraum bis zur Erteilung des Vermerks und für bestimmte Leistungen bereits im Vorjahr (§ 271d Abs. 1); andere, nicht verbotene Nichtprüfungsleistungen sind nur zulässig, wenn der Prüfungsausschuss nach ordnungsgemäßer Beurteilung der Unabhängigkeitsgefährdungen und der Schutzmaßnahmen zugestimmt hat, und wird ohne Zustimmung geleistet, gebührt kein Entgelt (§ 271d Abs. 2). Art. 7 der Verordnung (EU) Nr. 537/2014 gilt entsprechend: Der Verdacht auf Unregelmäßigkeiten einschließlich Betrug ist dem geprüften Unternehmen zu melden und, wenn dieses nicht ermittelt, den zuständigen Behörden (§ 271e). Schließlich hat der Abschlussprüfer dem nachfolgenden Abschlussprüfer auf schriftliches Verlangen Zugang zu den relevanten Informationen über das geprüfte Unternehmen und die zuletzt durchgeführte Abschlussprüfung zu gewähren; dasselbe gilt im Verhältnis zwischen Abschlussprüfer und Prüfer der Nachhaltigkeitsberichterstattung — die mit dem Nachhaltigkeitsberichtsgesetz eingefügte Brücke für den Fall, dass zwei verschiedene Prüfer tätig sind (§ 275 Abs. 1). Anwendbarkeit: alle Prüfer der Nachhaltigkeitsberichterstattung; §§ 271d und 271e gelten nur, wenn das geprüfte Unternehmen von öffentlichem Interesse ist. Hauptfall und damit gesetztes Regelwerk ist der Prüfer der Nachhaltigkeitsberichterstattung nach § 268 Abs. 3; für Prüfungen bei Gesellschaften von öffentlichem Interesse gilt zusätzlich das Regelwerk zu § 271d Abs. 1. The statutory auditor or the separate assurance provider issues and signs the report and is accountable for applying the standards; the group auditor is accountable for the monitoring, with the providers of the companies included supplying the underlying work; the provider and the network management run the independence check before each engagement is accepted and apply for the audit committee's consent, which the committee of the assured company assesses and decides; the former statutory auditor grants access, with the duty of confidentiality otherwise unaffected.

Der Abschlussprüfer oder der gesonderte Prüfer der Nachhaltigkeitsberichterstattung erteilt den Vermerk, unterzeichnet ihn und verantwortet die Anwendung der Standards; der Konzernabschlussprüfer verantwortet die Überwachung, die Prüfer der einbezogenen Unternehmen liefern die Grundlagen; der Prüfer und die Netzwerksteuerung verantworten die Unabhängigkeitsprüfung vor jeder Mandatsannahme und beantragen die Zustimmung des Prüfungsausschusses, die der Ausschuss der geprüften Gesellschaft beurteilt und erteilt; der bisherige Abschlussprüfer gewährt den Zugang, die Verschwiegenheitspflicht bleibt im Übrigen unberührt.
