Description (English)
The company includes the information reporting on sustainability matters in a clearly identifiable dedicated section of the management report (section 243b(1)); a separate sustainability report alongside the management report does not satisfy the duty. At group level the same task applies in a different consolidation scope: the parent company includes the consolidated sustainability statement in a clearly identifiable dedicated section of the consolidated management report (section 267a(1)). The consolidated statement replaces the parent company's individual reporting under section 243(5) and section 243b; for the subsidiaries it takes effect through the exemption in section 243b(7). In substance the statement contains the information needed to understand the impacts of the company's activities on sustainability matters and how sustainability matters affect its development, performance and position, together with the process used to identify that information (double materiality assessment), and it covers the prescribed blocks of content: business model and strategy, time-bound targets including absolute greenhouse gas targets for at least 2030 and 2050, the role and expertise of the governing bodies, policies, incentive schemes, the due diligence process and the principal adverse impacts, the principal risks and dependencies, and the related indicators. The information covers the company's own operations and - within the limits on value chain requests - its value chain including products, services, business relationships and supply chain; if, in the first three financial years of application, not all value chain information is available, the efforts made, the reasons and the plans must be described. Reporting follows the European sustainability reporting standards; any other framework does not satisfy the duty. At group level all of this applies to the group; the parent company also explains material differences between the group and individual subsidiaries and states which included subsidiaries are exempt. Applicability: the individual duty applies to large public-interest entities under section 243b(1), the group duty to public-interest parent companies of a large group under section 267a(1); the thresholds follow from the rule sets of this Act. Die Gesellschaft nimmt die Angaben zur Berichterstattung über Nachhaltigkeitsaspekte klar erkennbar in einem eigenen Abschnitt des Lageberichts auf (§ 243b Abs. 1); ein gesonderter Nachhaltigkeitsbericht neben dem Lagebericht erfüllt die Pflicht nicht. Auf Konzernebene ist es dieselbe Aufgabe in anderem Konsolidierungskreis: Das Mutterunternehmen nimmt die konsolidierte Nachhaltigkeitserklärung klar erkennbar in einen eigenen Abschnitt des Konzernlageberichts auf (§ 267a Abs. 1). Die konsolidierte Erklärung ersetzt die Einzelberichterstattung des Mutterunternehmens nach § 243 Abs. 5 und § 243b; für die Tochterunternehmen wirkt sie über die Befreiung des § 243b Abs. 7. Inhaltlich enthält die Erklärung die Angaben, die für das Verständnis der Auswirkungen der Unternehmenstätigkeit auf Nachhaltigkeitsaspekte und der Auswirkungen von Nachhaltigkeitsaspekten auf Geschäftsverlauf, Geschäftsergebnis und Lage nötig sind, samt dem Verfahren, mit dem sie ermittelt wurden (doppelte Wesentlichkeitsanalyse), und deckt die vorgeschriebenen Themenblöcke ab: Geschäftsmodell und Strategie, zeitgebundene Ziele einschließlich absoluter Treibhausgasziele mindestens für 2030 und 2050, Rolle und Fachwissen der Organe, Unternehmenspolitik, Anreizsysteme, Due-Diligence-Prozess und wichtigste negative Auswirkungen, wichtigste Risiken und Abhängigkeiten sowie die zugehörigen Indikatoren. Die Angaben umfassen die eigene Geschäftstätigkeit und – nach Maßgabe der Begrenzung der Anfragen in der Wertschöpfungskette – die Wertschöpfungskette samt Produkten, Dienstleistungen, Geschäftsbeziehungen und Lieferkette; sind in den ersten drei Geschäftsjahren der Anwendbarkeit nicht alle Informationen über die Wertschöpfungskette verfügbar, sind die Anstrengungen, die Gründe und die Pläne darzustellen. Berichtet wird nach den europäischen Standards für die Nachhaltigkeitsberichterstattung; ein anderes Rahmenwerk erfüllt die Pflicht nicht. Auf Konzernebene gilt all das bezogen auf die Gruppe; das Mutterunternehmen macht zusätzlich erhebliche Unterschiede zwischen Gruppe und einzelnen Tochterunternehmen verständlich und gibt an, welche einbezogenen Tochterunternehmen befreit sind. Anwendbarkeit: Die Einzelpflicht trifft große Gesellschaften von öffentlichem Interesse nach § 243b Abs. 1, die Konzernpflicht Mutterunternehmen von öffentlichem Interesse einer großen Gruppe nach § 267a Abs. 1; die Schwellen ergeben sich aus den Regelwerken dieses Gesetzes.
