Description (English)
Coercive penalties for other breaches of the corporate reporting provisions, up to EUR 7,000 and for small companies limited by shares up to EUR 3,600. They apply to the legal representatives and to the company itself and expressly back, among others, section 243b (sustainability reporting), section 267a (consolidated sustainability reporting), section 270(1) (appointment of the provider), section 277(4), section 280(3) and section 281(1) to (3). Through section 24(5) of the Commercial Register Act the range extends to EUR 20,000 for medium-sized companies and to EUR 50,000 for large companies. The sanction backs several rule sets and is therefore not assigned to a single one. A company with its registered office in Austria is jointly and severally liable for the coercive penalties imposed on its representatives and for any procedural costs.

Zwangsstrafen wegen sonstiger Verstöße gegen die Unternehmensberichterstattung, bis zu 7 000 Euro, bei kleinen Kapitalgesellschaften bis zu 3 600 Euro. Sie treffen die gesetzlichen Vertreter und die Gesellschaft selbst und bewehren unter anderem ausdrücklich § 243b (Nachhaltigkeitsberichterstattung), § 267a (konsolidierte Nachhaltigkeitsberichterstattung), § 270 Abs. 1 (Bestellung des Prüfers), § 277 Abs. 4, § 280 Abs. 3 und § 281 Abs. 1 bis 3. Über § 24 Abs. 5 FBG reicht der Rahmen bei mittelgroßen Gesellschaften bis 20 000 Euro und bei großen bis 50 000 Euro. Die Sanktion bewehrt mehrere Regelwerke und ist deshalb keinem einzelnen zugeordnet. Die Gesellschaft mit Sitz im Inland haftet für die über ihre Vertreter verhängten Zwangsstrafen und allfällige Verfahrenskosten zur ungeteilten Hand.
